Terms and Conditions for Engaging with TheyConnect™️

This document specifies the terms and conditions that apply to the clients who engage with TheyConnect™️ for their business needs.

1.  Scope of Services

  •           TheyConnect™️ will provide the client with the services agreed upon in the proposal or contract signed by both parties.
  •           The services may include but are not limited to: market research, strategy development, branding, content creation, access to the Queer Peers™️ network, ambassadorship, media appearances, analytics, and reporting.
  •           TheyConnect™️ will perform the services with due care, skill, and professionalism, and in accordance with the industry standards and best practices.
  •           TheyConnect™️will deliver the services within the agreed time frame and budget, unless there are unforeseen circumstances or changes requested by the client.
  •           TheyConnect™️will communicate with the client regularly and provide updates on the progress and status of the services.

2.  Payment Terms

  •           The client will pay TheyConnect™️the fees specified in the proposal or contract, which may be based on an hourly rate, a fixed price, or a percentage of the revenue generated by the services as determined in the signed proposal or contact.
  •           The client will pay TheyConnect™️ in accordance with the payment schedule agreed upon in the proposal or contract, which may be monthly, quarterly, or upon completion of milestones or deliverables.
  •           The client will pay TheyConnect™️ within 30 days of receiving an invoice, unless otherwise agreed.
  •           The client will pay TheyConnect™️ by bank transfer, credit card, or any other method agreed upon by both parties.
  •           The client will pay any taxes, duties, or fees that may apply to the services, unless otherwise agreed.
  •           The client will pay TheyConnect™️ interest at the rate of 10% per annum on any overdue amounts, unless otherwise agreed.

3.  Intellectual Property Rights

  •           TheyConnect™️ will retain the ownership of any intellectual property rights that it has created or used in the course of providing the services, unless otherwise agreed.
  •           TheyConnect™️ will grant the client a non-exclusive, royalty-free, and perpetual license to use, modify, and distribute any intellectual property rights that it has created or used in the course of providing the services, for the purpose of the client's business, unless otherwise agreed.
  •           The client will retain the ownership of any intellectual property rights that it has provided or used in the course of receiving the services, unless otherwise agreed.
  •           The client will grant TheyConnect™️ a non-exclusive, royalty-free, and perpetual license to use, modify, and distribute any intellectual property rights that it has provided or used in the course of receiving the services, for the purpose of TheyConnect’s™️ business, unless otherwise agreed.
  •           Both parties will respect and protect each other's intellectual property rights and will not infringe, misuse, or disclose them to any third party without prior written consent.

4.  Confidentiality

  •           Both parties will treat any information that they have obtained or exchanged in the course of the engagement as confidential and will not disclose it to any third party without prior written consent, unless required by law or regulation.
  •           Both parties will use the confidential information only for the purpose of the engagement and will not use it for any other purpose or benefit.
  •           Both parties will take reasonable steps to safeguard the confidential information and prevent its unauthorised access, use, or loss.
  •           Both parties will return or destroy any confidential information that they have received from each other upon the termination of the engagement or upon request, unless required to retain it by law or regulation.

5.  Termination

  •           Both parties may terminate the engagement by giving 30 days' written notice to the other party, unless otherwise agreed.
  •           Both parties may terminate the engagement immediately by giving written notice to the other party, if the other party breaches any of the terms and conditions and fails to remedy the breach within 14 days of receiving the notice, or if the other party becomes insolvent, bankrupt, or ceases to operate.
  •           Upon the termination of the engagement, both parties will settle any outstanding payments, deliver any outstanding deliverables, and comply with any obligations regarding the intellectual property rights and the confidentiality of the information.
  •           The termination of the engagement will not affect any rights or remedies that either party may have accrued prior to the termination.

6.  Dispute Resolution

  •           Both parties will attempt to resolve any dispute arising from or relating to the engagement in good faith and through negotiation.
  •           If the parties fail to resolve the dispute within 30 days of the notice of the dispute, they will submit the dispute to mediation by a mutually agreed mediator.
  •           If the parties fail to resolve the dispute through mediation within 60 days of the notice of the dispute, they will submit the dispute to arbitration by a mutually agreed arbitrator, whose decision will be final and binding.
  •           The parties will bear their own costs and expenses of the mediation and arbitration, unless otherwise agreed or awarded by the mediator or arbitrator.
